On December 29, 2015 the Israeli Knesset approved (voted for\u00a0second and third hearings) the\u00a0Law for Encouragement of Investments in Hi Tech Companies \u2013 201<\/a>5, mainly allowing public offerings \u00a0via crowd funding online, without the need to file a prospectus.\u00a0<\/span><\/p>\n

  1. The law allows an offer of securities of a corporation incorporated in Israel, without the need to become a "Reporting Corporation" (i.e., a corporation the files a prospectus and is obligated to file\u00a0reports to the Israeli Securities Authority and the Stock Exchange), subject to\u00a0the following conditions:<\/span>\n
      \n
    • The offer is carried out by "A Proposal Coordinator"- a company registered under the "Proposal Coordinators Registry" that promotes\u00a0the offer for sale of securities by a website.<\/span><\/li>\n
    • The offer shall no exceed an amount determined by the Minister of Finance (the amount has not yet been determined).<\/span><\/li>\n
    • The respective investment amount of each investor\u00a0may not exceed the amount determined by the Minister of Finance (to be determined also). <\/span><\/li>\n
    • Furthermore, each investor may not exceed an aggregate investment amount for additional involvements.\u00a0<\/span><\/li>\n<\/ul>\n<\/li>\n
    • The Securities Authority shall maintain a "Proposal Coordinators" registry.\u00a0<\/span><\/li>\n
    • Each Proposal Coordinator\u00a0must submit an annual report and on going reports regarding the\u00a0proposals made via its web site.<\/span><\/li>\n
